ORDER OF BUSINESS
The Special Called meeting of November 14, 2016, having been duly publicized, was called
to order by Mayor Jones at 6:00 p.m. in the Council Chambers on the third floor of the
Municipal Center and adjourned at 6:35 p.m.
Per Section 30-4-80(e) notice of the meetings by email was sent out to the current
maintained "Agenda Mailout" list consisting of news media outlets and individuals or
companies requesting notification. Notice of the meetings was also posted on the outside
doors of the Municipal Center, the main bulletin board of the Municipal Center located on
the first floor, and the City of North Augusta website.
Mayor Jones rendered the invocation and led in the Pledge of Allegiance.
Members present were Mayor Jones and Councilmembers, Adams, Brooks, Carpenter,
Dickert, McDowell, and McGhee.
Also in attendance were B. Todd Glover, City Administrator; Kelly F. Zier, City Attorney;
Cammie T. Hayes, Director of Finance; and Diana H. Miller, Manager of Human Resources;
and Donna B. Young, City Clerk.
ITEM 1. FINANCE: Providing for the Issuance and Sale of a Tax Increment
Revenue Bond of the City of North Augusta, South
Carolina, and Other Matters Relating Thereto —
Ordinance, First Reading
On motion by Councilmember Carpenter, second by Councilmember
McGhee, Council unanimously passed an ordinance on first reading
providing for the issuance and sale of a Tax Increment Revenue Bond of the
City of North Augusta, South Carolina, and other matters relating thereto.
Voting for the ordinance on first reading were: Mayor Jones and
Councilmembers Brooks, Carpenter, Dickert, McDowell, and McGhee.
Voting against the ordinance on first reading was Councilmember Adams.
The ordinance passed with a 6/1 vote.

RELATING THERETO
BE IT ORDAINED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF NORTH
AUGUSTA, SOUTH CAROLINA (THE "CITY"), IN MEETING DULY ASSEMBLED
AND BY THE AUTHORITY THEREOF, THAT:
ARTICLE I
FINDINGS OF FACT
Section 1.01Findings of Fact
As an incident to the enactment of this Ordinance, and the issuance of the Bond
provided for herein, the City Council of the City of North Augusta (the "City Council")
finds, as a fact, that each of the statements hereinafter set forth is in all respects true and
correct:
l.By Ordinance entitled "ORDINANCE NO. 96-10 PROVIDING FOR THE CREATION
OF THE NORTH AUGUSTA TAX INCREMENT FINANCING DISTRICT WITHIN THE
NORTH AUGUSTA RIVERFRONT DEVELOPMENT DISTRICT AND THE
ADOPTION OF A REDEVELOPMENT PLAN FOR THE REDEVELOPMENT
DISTRICT AND THE TAX INCREMENT FINANCING DISTRICT AND OTHER
MATTERS RELATING THERETO," enacted by the City Council on December 16, 1996
(the "1996 Redevelopment Plan Ordinance") as amended by an ordinance entitled
"ORDINANCE NO. 2013-19 TO PROVIDE FOR THE APPROVAL OF CERTAIN
AMENDMENTS TO THE AMENDED REDEVELOPMENT PLAN OF THE CITY OF
NORTH AUGUSTA, SOUTH CAROLINA, AND OTHER MATTERS RELATED
THERETO," enacted by the City Council on November 18, 2013 (the "2013 Amending
Ordinance," and together with the 1996 Redevelopment Plan Ordinance, the "Amended
Redevelopment Plan Ordinance"), the City Council, pursuant to the Tax Increment
Financing Law, now codified as Sections 31-6-10 et seq., Code of Laws of South Carolina
1976, as amended (the "Enabling Act"), has established the North Augusta Tax Increment
Financing District (the "Redevelopment Project Area") and has established for that area a
Redevelopment Plan (the "Amended Redevelopment Plan"), all as contemplated by the
Enabling Act.
2.In the Amended Redevelopment Plan Ordinance, the City Council determined that
redevelopment of the area designated by it as the Redevelopment Project Area is necessary
and in the best interest of the public health, safety, and general welfare of the residents of the
City.
3.In order to finance a portion of the "Redevelopment Project Costs," as defined at Section
31-6-30(8) of the Enabling Act, the City has determined to raise money and to issue a bond
in exchange therefor, on the terms and subject to the conditions described herein. The City
has further determined to enact this Ordinance in order to set forth the terms and conditions
of such issuance of an obligation secured by the special tax allocation fund created by the
Amended Redevelopment Plan Ordinance to be designated as the Tax Increment Revenue
Bond, Series 2016A (the "Bond"), or such other designation as the Mayor of the City (the
"Mayor") may determine, such Bond to be issued pursuant to the Enabling Act and this
Amended Redevelopment Plan Ordinance.
4.The proceeds of the Bond shall be used to defray a portion of the costs incurred by the
City in carrying out the projects described in the Amended Redevelopment Plan Ordinance
(herein referred to as the "TIF Projects").
5. The Bond is intended, and is hereby found and determined, to serve as an "Obligation" as
described in and for the purposes of Sections 31-6-40 and 31-6-70 of the Enabling Act.
ARTICLE II
ISSUANCE OF THE BOND
Section 2.01Issuance of the Bond
Pursuant to the Enabling Act and for the purpose of financing the Redevelopment Project
Costs, there shall be issued the Bond. The exact dollar amount of the Bond shall be
established by the City Administrator at the time of original delivery thereof based on the
amount deemed necessary at that time to accomplish the purposes provided for herein;
provided, however, that the principal amount of the Bond shall not exceed $100,000.
The Bond shall be sold by means of a private, negotiated sale, upon such terms as may be
negotiated with the purchaser of the Bond and determined to be in the interest of the City by
the Mayor and the City Administrator.
Section 2.02Interest Rate and Maturity Schedule of Bond
The Bond shall be payable as to principal and interest on such date or dates as the Mayor
and the City Administrator shall designate, provided that in no case may the Bond mature
subsequent to thirty years from its dated date. The Bond shall bear interest at a rate to be
determined to be in the interest of the City by the Mayor and the City Administrator upon
the advice of the City's municipal advisor, but in all events shall be calculated on the basis
of a 360-day year consisting of twelve months of 30 days each. The Bond shall be dated and
authenticated as of the date of delivery thereof. Interest on the Bond will accrue from the
most recent date to which interest has been paid or, if no interest has yet been paid, from the
date of delivery of the Bond.
The Bond may be subject to redemption on the dates and upon the terms as determined by
the Mayor and the City Administrator.
Section 2.03Form of the Bond
The Bond will be substantially in the form attached as Exhibit A, issued as a single
instrument in the denomination of the aggregate principal amount of the Bond, with such
necessary or appropriate variations, omissions, and insertions as are otherwise permitted by
law or by this Ordinance.
Section 2.04Medium of Payment of the Bond
The principal of and interest on the Bond shall be payable in any coin or currency of the
United States of America which at the time of payment is legal tender for the payment of
public and private debts. Payment of principal of and interest on the Bond shall be made by
check or draft mailed to the purchaser by the City, or by way of an electronic transfer by the
City; provided, however, that the final installment of principal and interest on the Bond shall
be payable upon presentation and surrender of such Bond to the City.
Section 2.05Execution of the Bond
The Bond shall be executed in the name of the City by the manual signature of the Mayor
and attested by the manual signature of the City Clerk (the "Clerk"), and the official seal of
the City shall be impressed thereon.
Section 2.06Replacement of Missing or Damaged Bond
In case the Bond shall become mutilated or shall be believed by the City to have been
destroyed, stolen, or lost, upon proof of ownership, satisfactory to the City, and upon
surrender of such mutilated Bond or upon receipt of evidence satisfactory to the City of such
destruction, theft, or loss, and upon receipt also of indemnity satisfactory to the City, and
upon payment of all expenses incurred by the City for any investigation relating thereto, and
all expenses incurred in connection with the issuance of any new Bond under this Section,
the then-Mayor and the then-Clerk shall execute and deliver a new Bond of the same
maturity, and for the same aggregate principal amount, of like tenor and date, bearing the
same number, with such notations as shall be deemed appropriate, in exchange and
substitution for, and upon the cancellation of, the mutilated Bond, or in lieu of and in
substitution for the Bond so lost, stolen or destroyed.
Section 2.07Security for Payment of Bond
For the punctual payment of the principal and interest of the Bond there are hereby
irrevocably pledged, pursuant to Sections 31-6-40 and 31-6-70 of the Enabling Act, the
incremental tax revenue generated from the Redevelopment Project Area, including any
additional parcels that may be included in the Redevelopment Project Area subsequent to the
date hereof. The entirety of the special tax allocation fund is pledged to the payment of the
Bond.
In accordance with the provisions of Section 31-6-40 of the Enabling Act, that portion of the
taxes levied which is attributable to the total initial equalized assessed value of all taxable
real property in the Redevelopment Project Area (including any additional parcels that may
be included in the Redevelopment Project Area subsequent to the date hereof) shall be
distributed to the respective taxing districts in the manner required by law.
The Bond shall be a special Bond of the City to which the entirety of the special tax
allocation fund is pledged and shall be payable solely as herein provided, and full faith and
credit of the City is in no way pledged to the payment of the Bond.
The overlapping political subdivisions affected by the Amended Redevelopment Plan are
Aiken County, South Carolina (the "County") and The Consolidated School District of
Aiken County (the "School District"). The City has entered into separate intergovernmental
agreements with the County and the School District (collectively, the "IGA's" and each an
"IGA") whereby each entity has agreed to participate in the Amended Redevelopment Plan
on a modified basis. The City estimates that such agreements to participate in the Amended
Redevelopment Plan will result in the County contributing approximately $25.2 million in
tax increment revenues and the School District contributing approximately $13 million in
tax increment revenues to support the Amended Redevelopment Plan. Because the City
finds that in the absence of participation by the County and the School District, the
Amended Redevelopment Plan would be impracticable and the quantum of private
investment contemplated in connection therewith unlikely to be obtained, the City finds the
overall impact of the Amended Redevelopment Plan on the County and the School District
to be positive in ten-ns of additional economic development and additional revenues. The
County and School District have each agreed in their respective IGA to allow for the
application of tax increment revenues from the Redevelopment Project Area and,
accordingly, the City does not anticipate declaring a surplus in connection with the pledging
of the special tax allocation fund to the payment and securing of the Bond or the payment of
the Redevelopment Project Costs.
Section 2.08Discharge of Bond; Defeasance
If the Bond issued pursuant to this Ordinance shall have been paid and discharged, then the
obligations of this Ordinance hereunder, and all other rights granted thereby shall cease and
determine. The Bond shall be deemed to have been paid and discharged within the meaning
of this section under any of the following circumstances:
(i)If an escrow agent shall hold, at the stated maturity of the Bond, in trust and irrevocably
appropriated thereto, moneys for the full payment thereof; or
(ii)If default in the payment of the principal installments of the Bond or the interest thereon
shall have occurred, and thereafter tender of payment shall have been made, and the escrow
agent shall hold, in trust and irrevocably appropriated thereto, sufficient moneys for the
payment thereof to the date of the tender of payment; or
(iii)If the City shall have deposited with the escrow agent, in an irrevocable trust, either
moneys in an amount which shall be sufficient, or direct general obligations of the United
States of America or agencies thereof or obligations, the payment of principal or interest on
which is fully and unconditionally guaranteed by the United States of America
("Government Obligations"), which are not subject to redemption by the City prior to the
date of maturity thereof, as the case may be, the principal installments of and interest on
which, when due, and without reinvestment thereof, will provide moneys, which, together
with the moneys, if any, deposited with the escrow agent at the same time, shall be sufficient
to pay, when due, the principal installments, interest, and redemption price, if any, due and
to become due on the Bond and prior to the maturity date or dates of the Bond, or, if the City
shall elect to redeem the Bond prior to its stated maturity and shall have irrevocably bound
and obligated itself to give any required notice of redemption thereof in the manner provided
in the form of the Bond herein, on and prior to the redemption date or dates of the Bond, as
the case may be; or
(iv)If there shall have been deposited with the escrow agent either moneys in an amount
which shall be sufficient, or Government Obligations, the principal of and interest on which,
when due, will provide moneys, which, together with the moneys, if any, deposited with the
escrow agent at the same time, shall be sufficient to pay, when due, the principal and interest
due and to become due on the Bond on the maturity thereof
Section 2.09Custody and Application of Proceeds of the Bond
The entire proceeds derived from the sale of the Bond will be allocated to the payment of the
TIF Projects. The Finance Director of the City is hereby directed to maintain for the life of
the Bond records of the particular objects of the expenditure of the proceeds of the Bond.
ARTICLE III
REDEMPTION
Section 3.01Redemption Provisions
The Bond may be subject to optional redemption upon such terms and conditions as the
Mayor and the City Administrator shall determine.
ARTICLE IV
CERTAIN FINDINGS
In connection with the issuance of the Bond, the City hereby incorporates the
findings in the Amended Redevelopment Plan Ordinance by reference, with regard to all
findings required by Section 31-6-80(A) of the Enabling Act. However, for the avoidance of
doubt, the City explicitly sets forth the following findings:
i.Thc Amended Redevelopment Plan, which consists of a redevelopment plan
for the purposes of Title 31, Chapter 6 of the Enabling Act, containing a statement of
the objectives of the City with regard to such plan was adopted by the Amended
Redevelopment Plan Ordinance, and such Amended Redevelopment Plan is
incorporated herein by reference.
ii.The need for and proposed use of the proceeds of the Bond in relationship to
the Amended Redevelopment Plan is set forth at Section 2.03 of the 2013 Amending
Ordinance, is hereby affirmed, and is incorporated herein by reference.
iii.The City estimates that the portion of the costs of the Amended
Redevelopment Plan to be funded from obligations secured by the special tax
allocation fund, of which the Bond comprises only a small part, will be
approximately $43 million and that all obligations to be issued are to not exceed $55
million in principal amount, and the total tax increment revenues necessary to meet
the costs of debt service on all currently contemplated obligations is approximately
$87 million.
iv.A list of all real property in the Redevelopment Project Area (as defined in
the Amended Redevelopment Plan Ordinance) is included at Exhibit B.
v.The duration of the Amended Redevelopment Plan extends to the earlier of
(i) November 18, 2048, or (ii) the date the obligations secured by the special tax
allocation fund, including any refunding obligations, are paid off in full.
vi.The overlapping political subdivisions affected by the Amended
Redevelopment Plan are the County and the School District. The City has entered
into the IGA's whereby each entity has agreed to participate in the Amended
Redevelopment Plan on a modified basis. The City estimates that such agreements to
participate in the Amended Redevelopment Plan will result in the County
contributing approximately $25.2 million in tax increment revenues and the School
District contributing approximately $13 million in tax increment revenues to support
the Amended Redevelopment Plan. Because the City finds that in the absence of
participation by the County and the School District, the Amended Redevelopment

allocation fund to the payment and securing of the obligations secured by the special
tax allocation fund or the payment of the costs of the TIF Projects.
vii.The City finds again anew and reaffirms the existence of the conditions
related to blight and declining property values contained in Ordinance No. 2013-19
of the City and the findings related thereto that (i) the Redevelopment Project Area
contains blighted and conservation areas and that private initiatives are unlikely to
alleviate these conditions without substantial public assistance; (ii) property values in
the Redevelopment Project Area would remain static or decline without public
intervention; and (iii) redevelopment in the Redevelopment Project Area is in the
interest of the health, safety, and general welfare of the citizens of the City.
ARTICLE V
MISCELLANEOUS
Section 5.01Execution of Documents
The Mayor and Clerk are hereby authorized, empowered, and directed to execute in the
name of the City and under the Corporate Seal of the City any and all other documents that
may be required as a condition precedent to issuing the Bond, and the City is hereby
authorized and empowered to accept and receive the proceeds of the Bond.
Section 5.02Tenor of Bond
Every covenant, undertaking, and agreement made on behalf of the City set forth in the
Bond and in this Ordinance is made, undertaken, and agreed to for the proper securing of the
payment of the principal of and interest on the Bond.
Section 5.03Benefits of Ordinance Limited to the City and Holder of the Bond
With the exception of rights or benefits herein expressly conferred, nothing expressed or
mentioned in or to be implied from this Ordinance or the Bond is intended or should be
construed to confer upon or give to any person other than the City and the Holder of the
Bond, any legal or equitable right, remedy, or claim under or by reason of or in respect to
this Ordinance or any covenant, condition, stipulation, promise, agreement, or provision
herein contained. This Ordinance and all of the covenants, conditions, stipulations,
promises, agreements, and provisions hereof are intended to be and shall be for and inure to
the sole and exclusive benefit of the City and the Holder from time to time of the Bond as
herein and therein provided.
Section 5.040rdinance Binding Upon Successors or Assigns of the City
All the terms, provisions, conditions, covenants, warranties, and agreements contained in
this Ordinance shall be binding upon the successors and assigns of the City and shall inure
to the benefit of the Holder of the Bond.
Section 5.05Effect of Saturdays, Sundays and Legal Holidays
Whenever this Ordinance requires any action to be taken on a Saturday, Sunday, legal
holiday or bank holiday in the State of South Carolina, such action shall be taken on the first
business day occurring thereafter. Whenever in this Ordinance the time within which any
action is required to be taken or within which any right will lapse or expire shall terminate
on a Saturday, Sunday, legal holiday or bank holiday, in the State of South Carolina, such
time shall continue to run until midnight on the next succeeding business day.
Section 5.06Law and Place of Enforcement of the Ordinance
This Ordinance shall be construed and interpreted in accordance with the laws of the State of
South Carolina and all suits and actions arising out of this Ordinance shall be instituted in a
court of competent jurisdiction in said State.
Section 5.07Effect of Article and Section Headings
The heading or titles of the several Articles and Sections hereof shall be solely for the
convenience of reference and shall not affect the meaning, construction, interpretation or
effect of this Ordinance.
Section 5.08Saving Provisions
If any section, paragraph, clause, or provision of this Ordinance shall be held invalid, the
invalidity of such section, paragraph, clause, or provision shall not affect any of the
remaining provisions of this Ordinance.
Section 5.09Repealing Clause
All resolutions, ordinances, or parts thereof, inconsistent herewith shall be, and the same are
hereby, repealed to the extent of such inconsistencies.
Section 5.10Effective Date
This Ordinance shall be effective without the necessity of any publication upon the date on
which it receives third and final reading.
Section 5.11 General Repealer
All ordinances or parts of Ordinances in conflict herewith are, to the extent of such conflict,
hereby repealed.
Section 5.12Effective Date
This Ordinance shall become effective immediately upon its enactment on third reading.
Section 5.13Required Filing
A certified copy of this Ordinance authorizing the issuance of the Bond shall be filed with
the Clerk to the County Council and the County Treasurer of the County, and when so filed
shall constitute the authority for the extension and collection of the taxes to be deposited in
the special tax allocation fund.

including any additional parcels that may be included within the Redevelopment Project

The entire special tax allocation fund is pledged to the payment of the Bond as described in
the Bond Ordinance. The full faith, credit, and taxing power of the City are not pledged to
the payment of this Bond.
This Bond is subject to optional redemption [insert redemption provisions].
All payments by way of principal and interest shall be paid by check or draft mailed at the
times provided herein from the City to the person in whose name this Bond is registered at
the address shown on the registry books of the City, or by interfund transfer by the City;
provided, however, that the final payment of principal and interest shall be made upon

Certain capitalized terms used herein and not otherwise defined shall have the meanings
ascribed thereto in the Bond Ordinance. A certified copy of the Bond Ordinance is on file in

by the Constitution and Laws of the State of South Carolina to exist, to happen, or to be

On motion by Mayor Jones, second by Councilmember Dickert, Council
unanimously passed an ordinance on second reading providing for the issuance
and sale of a Tax Increment Revenue Bond of the City of North Augusta, South
Carolina, and other matters relating thereto.
Voting for the ordinance on second reading were: Mayor Jones and
Councilmembers Brooks, Carpenter, Dickert, McDowell, and McGhee. Voting
against the ordinance on first reading was Councilmember Adams.
The ordinance passed with a 6/1 vote.
