RES 2014-17 Adopted Certified RESOLUTION NO. 2014-17 THE CITY PREVIOUSLY, BY ORDINANCE NUMBER 2014-06, AUTHORIZED THE CONVEYANCE OF LAND TO GREENSTONE NG, LLC, FOR THE CONSTRUCTION OF AN OFFICE BUILDING FOR MEDAC, INC. THIS RESOLUTION IS FOR THE PURPOSE OF AUTHORIZING THE CITY ADMINISTRATOR TO, IN ADDITION TO THE CONVEYANCE OF SAID LAND, TO EXECUTE RELATED DOCUMENTS CONCERNING THE CONSTRUCTION OF A PARKING DECK AND OTHER MATTERS RELATED TO THE MEDAC, INC. OFFICE BUILDING. WHEREAS, the City has previously agreed to convey property to Greenstone NG, LLC, for the construction of an office building for occupation by MEDAC, Inc.; and, WHEREAS, in accordance with authority as set forth in the afore referred to Ordinance, the City Administrator and City Attorney have continued in negotiations related to additional matters involving actions by the City in assisting with the relocation of MEDAC, Inc.; and, WHEREAS, it is necessary that the City execute an agreement regarding the construction of the parking structure; an agreement approving an easement for access and parking by MEDAC, Inc. in the parking structure being constructed; and, an agreement acknowledging responsibility for costs related to the extension of time to provide facilities for MEDAC, Inc.; and, WHEREAS, the City Administrator and City Attorney have provided to Mayor and City Council the various remaining documents to complete this transaction and the Council has reviewed such documents and determined that they are appropriate to complete this transaction. NOW THEREFORE, BE IT RESOLVED that the Mayor and City Council of the City of North Augusta, South Carolina, in meeting duly assembled and by the authority thereof do hereby affirm that the City Administrator is authorized to execute the following documents on behalf of the City. Such authorization is based upon revisions and changes to the current written agreements being made as directed by Council this date. 1. Agreement regarding parking structure; 2. Easement for access and parking; 3. Agreement related to responsibility by City to compensate Greenstone for costs of the extension of the delivery date; 4. Access Agreement for construction of Medac Building; BE IT FURTHER RESOLVED that the City Administrator and City Attorney are authorized to agree to such text changes in the documents as they determine to be necessary to further clarify such documents and protect the interest of the City, providing the City receives satisfactory corporate guarantees for the repayment of the value of the land for the MEDAC bulding.
